Standard Job Terms

Version 3.2 · effective November 15, 2026 · not in force yet

TheGuys App LLC

Effective Date: November 15, 2026

These Standard Job Terms (these "Terms") govern the per-Job contractual relationship between two Users of TheGuys.app — the User who posts a Job (the "Dispatcher" with respect to that Job) and the User who accepts and performs that Job (the "Performer" with respect to that Job). These Terms are accepted by every User at signup and apply automatically to every Job posted, accepted, and performed through the Platform thereafter, without further click-through, unless and until both parties to a specific Job expressly agree in writing on the Platform to vary specific terms for that Job.

These Terms are incorporated by reference into the TheGuys.app Terms of Service (the "Agreement") and form part of every User's agreement with TheGuys App LLC. Capitalized terms used but not defined here have the meanings given in the Agreement. Within the Platform's user-facing interface, a Dispatcher may informally be called a "Boss" and a Performer may informally be called a "Guy"; those informal terms are gender-neutral and have no legal effect. The terms "Dispatcher" and "Performer" control as a matter of law.

TheGuys App LLC, a Wyoming limited liability company with principal place of business at 1883 West Royal Hunte Drive, Suite 200A, Cedar City, Utah 84720, is not a party to any agreement between a Dispatcher and a Performer formed by these Terms. TheGuys App LLC operates the Platform that facilitates the formation and performance of such agreements, charges a Platform Fee on each payout, and otherwise has no direct contractual relationship with either Dispatcher or Performer with respect to the Job itself.

1. Formation of the Per-Job Agreement

1.1 Offer. A Dispatcher's act of posting a Job on the Platform and selecting one or more Users to whom the Job is directed constitutes an offer to each selected User to perform the Job on the terms set forth in (a) the specific Job posting, (b) these Standard Job Terms, and (c) any Job-specific terms expressly agreed in writing on the Platform between the Dispatcher and the Performer.

1.2 Acceptance. A User's act of accepting a Job through the Platform constitutes acceptance of the offer described in Section 1.1 and forms a binding per-Job agreement between the Dispatcher and that Performer with respect to that Job.

1.3 Multiple Performers. A Dispatcher may engage more than one Performer on a single Job by specifying a slot count. Each acceptance by a selected User forms a separate per-Job agreement between the Dispatcher and that Performer, even though all such agreements may share the same Job posting and Standard Job Terms.

1.4 Modification. These Standard Job Terms may be modified for a specific Job only by express written agreement on the Platform between the Dispatcher and the Performer with respect to that Job. No oral modification is enforceable. A change to a Job made and accepted through the Platform as described in Section 2.3 is an express written agreement on the Platform for purposes of this Section 1.4 and of Section 2.2.

1.5 Lead. A Dispatcher may designate one Performer on a Job as the lead for that Job (the "Lead"). A review, approval, rejection, or skip decision that the Lead records on the Platform for that Job, including a decision about the Lead's own work where the Platform permits it, is made on behalf of the Dispatcher and has the same effect under these Terms as a decision made by the Dispatcher. The Dispatcher remains responsible for payment and for every decision the Lead makes.

2. Scope of Work

2.1 Job Description Controls. The work to be performed is defined by the Job posting created by the Dispatcher, including the Job description, task checklist, location, schedule, and any other Job-specific terms. The Performer agrees to perform the work in accordance with the Job posting.

2.2 Changes After Acceptance. From the moment a Performer accepts a Job until the Job is completed, including the time before the Performer arrives at the Job site and the time during performance, a change to the scope of work must be agreed in writing on the Platform between the Dispatcher and the Performer. A Performer who performs work outside the scope of the posted Job without the Dispatcher's prior written agreement is not entitled to additional compensation for that work.

2.3 Changes Made on the Platform. The Platform lets a Dispatcher change the details of a Job after it has been sent to one or more Users, through a single feature that records every change. Changes made that way work as follows.

(a) Notice changes. A change that does not alter what the work is, where or when it is performed, what the Performer must bring, or the task checklist — for example a contact name or phone number, a note, a title, or a reference photo — takes effect when the Dispatcher makes it. The Platform records it and delivers it to each Performer on the Job.

(b) Consent changes. A change to the work to be performed, to the Job site, to the schedule, to the tools, equipment, or materials the Performer must bring, or to the task checklist (any task added or removed) takes effect for a Performer only when that Performer accepts it on the Platform. Until then the Job continues on its existing terms for that Performer. A Performer's silence is never acceptance. The Platform withdraws a change that has not been accepted one hour before the Job's scheduled start, or when any Performer on the Job has checked in, whichever comes first, and the Dispatcher may withdraw a change at any time before it is accepted.

(c) The acceptance is the written agreement. A Performer's acceptance of a change on the Platform is the express written agreement on the Platform that Section 1.4 and Section 2.2 require, and the Job as changed is the Job posting for purposes of Section 2.1 from that moment.

(d) Declining. A Performer may decline a consent change. A Performer who declines is released from the Job without penalty and without effect on the Performer's reliability metrics, is not treated as having cancelled under Section 12, and is not entitled to compensation for work not performed. The Dispatcher may elect to pay a released Performer an inconvenience fee under Section 6.8 of the Agreement, as the Dispatcher may for a cancelled Job.

(e) The record. Every change made through the Platform is recorded with the Job's details before and after the change, the time it was made, and each Performer's response. Both the Dispatcher and each Performer may read that record on the Platform, and each Performer receives a copy of each change that concerns that Performer.

(f) Money cannot be changed on a sent Job. The Job Rate, the rate type (hourly or flat), the payment terms, and any bonus or penalty amount stated in the Job posting cannot be changed on a Job after it has been sent to any User, through this feature or otherwise. A change to any of them is a new Job, offered and accepted under Section 1.

3. Compensation and Payment

3.1 Rate. The Performer's compensation is the rate specified in the Job posting (the "Job Rate"), as adjusted by any approved expenses, bonuses, or penalties under these Terms.

3.2 Approval and Payment. Upon completion of the Job and submission by the Performer of the completed task checklist, expenses (with receipts), and required photographs, the Dispatcher reviews the submission and either approves and authorizes payment or rejects the submission with a written explanation. Where the Dispatcher has marked a task as not requiring review, the Performer's submission of that task is deemed approved by the Dispatcher at the moment it is submitted, and no further review of that task takes place; a request to skip such a task is still decided by the Dispatcher or the Lead. Payment is processed by Stripe in accordance with the Agreement and Stripe's terms.

3.3 Disputed Work. If a Dispatcher rejects all or part of a Performer's work, the Dispatcher and Performer will attempt to resolve the dispute in good faith on the Platform. If they cannot resolve the dispute, either party may seek resolution under Section 21 of the Agreement (Arbitration). TheGuys App LLC is not a party to and has no obligation to resolve such disputes.

3.4 Expense Reimbursement. Expenses incurred by a Performer in the performance of a Job are reimbursable only if (a) authorized in advance by the Dispatcher (either by general standing authorization in the Job posting or by specific written approval on the Platform), and (b) substantiated by a legible receipt submitted on the Platform within the Job submission. Unauthorized or unsubstantiated expenses are not reimbursable.

3.5 Penalties and Bonuses. If the Job posting specifies penalties (for example, late arrival penalties, task non-completion penalties) or bonuses (for example, on-time completion bonuses, quality bonuses), those amounts are calculated by the Platform and applied to the Performer's payout. The total of all penalties stated in a Job posting may not exceed one half of the Performer's pay basis for that Job, meaning the Job Rate for a flat-rate Job, or the Job Rate multiplied by the Job's estimated duration for an hourly Job, as the Platform displays it to the Performer before acceptance; the Platform will not send a Job whose stated penalties exceed that cap. The Dispatcher may, in their sole discretion, waive a penalty or award a discretionary bonus, in either case documented on the Platform. Any penalty applied or bonus withdrawn at the close of a Job is recorded on the Platform with the Dispatcher's reason, and the Performer is told.

3.6 Platform Fee Allocation. All fees, including the Platform Fee (5% of the gross payout amount), Stripe processing fees, and any applicable taxes, are deducted from the Performer's gross payout before net funds are transferred. The Dispatcher pays the gross amount; the Performer receives the net amount after deductions. The Platform displays the full breakdown to the Performer at the time of payout.

3.7 No Show-Up Fee. Unless the Dispatcher and Performer expressly agree otherwise in writing on the Platform for a specific Job, no compensation is owed for a Performer's mere arrival at a Job site. Compensation is owed only for work actually performed and approved.

3.8 The Invoice States the Real Price. The Performer's invoice for a Job must state the compensation actually agreed for the work. A discount the Performer applies to the Performer's own invoice is recorded on the Platform, and a discount of more than one quarter of the invoice subtotal must be accompanied by a written reason on the Platform. Neither the Dispatcher nor the Performer may use a discount, a cancellation followed by a new Job, or a change under Section 2.3 to move any part of the compensation for a Job outside the Platform; doing so is fee evasion under Section 2.6 of the Acceptable Use Policy and Section 14 of the Agreement, and a Performer who accepts any part of a Job's compensation outside the Platform is treated in the same way as the Dispatcher who paid it.

3.9 Payout Review. A Performer's payout may be delayed for review as described in Section 6.10 of the Agreement. The Dispatcher's obligation to pay an invoice is satisfied when the Dispatcher's payment for that invoice is completed on the Platform, including while the Performer's payout is under review, and a delay for review is not a breach of these Terms by the Dispatcher or by TheGuys App LLC.

4. Performance Standards

4.1 Professional Standard. The Performer will perform the work in a competent, workmanlike, professional manner consistent with industry standards for the type of work being performed.

4.2 Punctuality and Communication. The Performer will arrive at the Job site at the scheduled time, check in through the Platform's GPS check-in feature upon arrival, check out upon completion, and respond to Dispatcher communications regarding the Job in a timely manner during the Job period.

4.3 Compliance with Site Rules. If the Job is performed at a Client's location, the Performer will comply with all reasonable site rules, safety requirements, and instructions communicated by the Client or the Dispatcher.

4.4 Documentation. The Performer will complete the task checklist accurately and submit all required photographs and documentation through the Platform as part of the Job submission.

5. Independent Contractor Status

5.1 Default Classification. Unless the Dispatcher and Performer expressly agree otherwise in writing for a specific Job, the Performer performs each Job as an independent contractor of the Dispatcher. The Performer is not an employee of the Dispatcher with respect to the Job.

5.2 Dispatcher's Authority to Classify. Notwithstanding Section 5.1, the Dispatcher may classify a particular Performer as an employee of the Dispatcher for a particular Job if the Dispatcher determines that employee classification is appropriate or required under applicable law. The Dispatcher is solely responsible for the legal correctness of any classification it applies.

5.3 TheGuys App Takes No Position. TheGuys App LLC takes no position on the classification of any Performer by any Dispatcher and is not a party to any classification determination. The Performer is not an employee, agent, partner, joint venturer, joint employer, single or integrated enterprise, or franchisee of TheGuys App LLC under any circumstance.

5.4 Indemnification. The Dispatcher and the Performer each indemnify TheGuys App LLC from and against any claim, by any government agency or any third party, arising from the classification of the Performer with respect to any Job.

6. Insurance and Risk of Loss

6.1 No Insurance Provided by TheGuys App. TheGuys App LLC does not provide insurance for any Job, Performer, or Dispatcher. See Section 8 of the Agreement.

6.2 Performer's Insurance. The Performer represents and warrants that the Performer carries any insurance required by law to perform the Job, including general liability insurance and workers' compensation insurance where applicable.

6.3 Dispatcher's Workers' Compensation Responsibility. If the Performer is classified as the Dispatcher's employee for a Job, the Dispatcher is responsible for providing workers' compensation coverage as required by the law of the jurisdiction in which the Job is performed. If the Performer is classified as an independent contractor, the Performer is responsible for the Performer's own workers' compensation coverage where applicable. Each party indemnifies the other for any breach of this Section.

6.4 Risk of Loss During Job. Each party bears the risk of loss to its own equipment, materials, and personal property during the performance of a Job. Damage to Client property caused by the negligence or misconduct of the Performer is the Performer's responsibility unless the Dispatcher and Performer have agreed otherwise in writing.

7. Non-Solicitation of the Dispatcher's Clients

This Section 7 is a restrictive covenant binding on each Performer with respect to each Job performed through the Platform. This Section is intended to be enforceable under Section 542.335 of the Florida Statutes.

7.1 Definitions for This Section. "Dispatcher's Client" means a Client of the Dispatcher with respect to whom the Performer first acquired knowledge, contact information, or a working relationship through the Performer's performance of one or more Jobs for that Dispatcher on the Platform. "Restricted Period" means the period beginning on the date the Performer first performed a Job for the Dispatcher and ending twelve (12) months after the date the Performer last performed any Job for the Dispatcher.

7.2 Non-Solicitation Covenant. During the Restricted Period, the Performer will not, directly or indirectly, (a) solicit any Dispatcher's Client for work substantially similar to the work the Performer performed for the Dispatcher with respect to that Dispatcher's Client, (b) accept work from any Dispatcher's Client for such substantially similar work, or (c) induce, encourage, or assist any Dispatcher's Client to terminate or reduce its business relationship with the Dispatcher.

7.3 Legitimate Business Interests. The Performer acknowledges that this Section 7 protects the Dispatcher's legitimate business interests, including without limitation: (a) substantial relationships with specific prospective or existing Clients, (b) Client goodwill associated with the Dispatcher's ongoing business, (c) the Dispatcher's confidential information regarding pricing, scope, and Client preferences, and (d) the Dispatcher's investment in the Performer's introduction to and training on the specific Client's work.

7.4 Reasonableness. The Performer acknowledges that the duration (twelve months), the scope (substantially similar work for the Dispatcher's Client), and the geographic limitation (the geographic area in which the Performer performed work for the Dispatcher's Client) of this Section 7 are reasonable and necessary to protect the Dispatcher's legitimate business interests, and that this Section 7 does not impose an undue hardship on the Performer.

7.5 Reformation. If a court of competent jurisdiction determines that any term of this Section 7 is overbroad or otherwise unenforceable in any respect, the court is requested to reform that term to the maximum extent enforceable under applicable law, and to enforce this Section 7 as so reformed. Reformation is a remedy expressly authorized by Section 542.335 of the Florida Statutes.

7.6 Equitable Relief. The Performer acknowledges that a breach of this Section 7 will cause the Dispatcher irreparable harm for which monetary damages alone would be inadequate. The Dispatcher is entitled to seek temporary, preliminary, and permanent injunctive relief to enforce this Section 7, in addition to any other remedy available at law or in equity, without the necessity of posting bond. Section 21.8 of the Agreement (Court Carve-Out for Injunctive Relief) applies.

7.7 No Restriction on Independent Work. Section 7.2 does not restrict the Performer from performing work for any person or entity other than a Dispatcher's Client. Section 7.2 does not restrict the Performer from being engaged by any other Dispatcher on the Platform with respect to the work of that other Dispatcher's Clients.

8. Confidentiality

8.1 Confidential Information Defined. "Confidential Information" means non-public business, technical, financial, customer, pricing, methodology, or operational information disclosed by one party to the other in connection with a Job, that is either marked confidential or that a reasonable person would understand to be confidential under the circumstances. The Dispatcher's rates with the Dispatcher's Clients, the Dispatcher's Client lists, and the Dispatcher's pricing strategies are Confidential Information of the Dispatcher.

8.2 Obligations. Each party will (a) protect the other party's Confidential Information using reasonable care, (b) use Confidential Information only as needed to perform the Job, and (c) not disclose Confidential Information to any third party other than as necessary to perform the Job.

8.3 Duration. Confidentiality obligations under this Section 8 survive completion or termination of any Job for five (5) years, except for trade secrets, which are protected for as long as they qualify as trade secrets under applicable law.

9. Intellectual Property in Work Product

9.1 Work Product. "Work Product" means any tangible or intangible work product, deliverable, document, photograph, design, plan, report, or other output created by the Performer in the course of performing a Job, but does not include the Performer's pre-existing general knowledge, skills, methods, or tools.

9.2 Ownership. Unless the Dispatcher and Performer expressly agree otherwise in writing on the Platform for a specific Job, all Work Product is the property of the Dispatcher upon completion of the Job and approval of payment. The Performer assigns to the Dispatcher all right, title, and interest in the Work Product, including all intellectual property rights. The Performer will execute such further documents as the Dispatcher reasonably requests to perfect the Dispatcher's ownership.

9.3 Performer's Retained Rights. The Performer retains ownership of the Performer's pre-existing general knowledge, skills, methods, tools, and any pre-existing intellectual property the Performer brings to the Job. The Performer grants the Dispatcher a non-exclusive, royalty-free license to use any such pre-existing materials only to the extent embedded in or necessary to use the Work Product.

9.4 Photographs of the Job Site. Photographs taken by the Performer at a Client site as part of the Job submission are Work Product and the property of the Dispatcher upon completion. The Performer may not use such photographs for marketing, portfolio, or other purposes without the Dispatcher's prior written consent. This Section 9.4 does not restrict the Performer's right to retain copies for the Performer's own internal records and for compliance with applicable law.

10. Performer Representations and Warranties

10.1 Authorization to Work. The Performer represents and warrants that the Performer is (a) at least 18 years of age, (b) legally authorized to perform the Job in the jurisdiction in which the Job is performed, and (c) the holder of any licenses, certifications, or permits required by applicable law to perform the Job.

10.2 No Conflicts. The Performer represents that performance of the Job does not breach any agreement between the Performer and any third party, including without limitation any non-compete, non-solicitation, or confidentiality obligation owed to a current or former employer or principal.

10.3 Workmanlike Performance. The Performer warrants that the work will be performed in a professional, workmanlike manner consistent with industry standards. The Performer will promptly correct, at the Performer's expense, any defect in the work caused by the Performer's failure to meet this standard, when notified by the Dispatcher within a reasonable time after completion.

11. Dispatcher Representations and Warranties

11.1 Authority. The Dispatcher represents that the Dispatcher is authorized to engage Performers for the work described in the Job posting and to bind the Dispatcher to these Terms.

11.2 Lawfulness of Job. The Dispatcher represents that the Job and the work described in the Job posting are lawful and that any required licenses, permits, and authorizations to perform the work in the relevant jurisdiction have been obtained or will be obtained before performance.

11.3 Site Safety Information. If the Dispatcher has actual knowledge of a hazard or safety risk at the Job site that is not apparent on reasonable inspection, the Dispatcher will disclose that hazard to the Performer in the Job posting or in pre-Job communications.

12. Cancellation

12.1 By the Dispatcher Before Performance. The Dispatcher may cancel a Job at any time before the Performer arrives at the Job site, by cancelling the Job on the Platform. The Performer is not entitled to compensation for a Job cancelled before arrival, except as the Dispatcher and Performer may otherwise agree on the Platform.

12.2 By the Performer Before Performance. The Performer may cancel a Job on the Platform at any time until one hour before the Job's scheduled start. After that point, and until the Performer checks in at the Job site, the Performer may withdraw from the Job only for good cause, arranged with the Dispatcher on the Platform. Repeated cancellations may affect the Performer's reliability metrics and the Performer's future engagement opportunities.

12.3 After Arrival. Once the Performer has checked in at the Job site through the Platform, cancellation requires good cause. A Performer who walks off a Job without good cause may forfeit compensation for that Job and may be subject to penalties as provided in the Job posting.

12.4 By TheGuys App LLC. TheGuys App LLC may, in its sole discretion, cancel a Job or block its further processing on the Platform in the circumstances described in Section 20.3 of the Agreement (including without limitation suspected fraud, abuse, or violation of the Acceptable Use Policy).

12.5 Release After a Declined Change. A Performer who is released from a Job after declining a change under Section 2.3(d) has not cancelled the Job, and this Section 12 does not apply to that release.

13. Disclaimers and Limitation of Liability

The disclaimers, indemnifications, and limitations of liability set forth in Sections 17, 18, and 19 of the Agreement apply to TheGuys App LLC with respect to these Terms.

As between the Dispatcher and the Performer, except for (a) the indemnification obligations in this Section 13 and in the Agreement, (b) the non-solicitation covenant in Section 7, (c) the confidentiality obligations in Section 8, and (d) any obligation that cannot be limited under applicable law:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL EITHER THE DISPATCHER OR THE PERFORMER BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO ANY JOB OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.1 Mutual Indemnification. The Dispatcher indemnifies the Performer against any claim arising from (a) the Dispatcher's breach of these Terms, (b) the Dispatcher's misclassification of the Performer, (c) any unsafe condition at the Job site of which the Dispatcher had actual knowledge and failed to disclose, and (d) any claim by a Client of the Dispatcher arising from the Dispatcher's own conduct rather than the Performer's. The Performer indemnifies the Dispatcher against any claim arising from (a) the Performer's breach of these Terms, (b) the Performer's negligence or misconduct in performing the Job, (c) damage to Client property caused by the Performer, and (d) the Performer's violation of any law or any third-party right in connection with the Job.

14. Dispute Resolution

14.1 Internal Resolution First. The Dispatcher and Performer will attempt in good faith to resolve any dispute on the Platform before invoking external resolution.

14.2 Arbitration. Any dispute that the Dispatcher and Performer cannot resolve on the Platform within a reasonable time, and that arises out of or relates to a Job, these Terms, or the relationship between Dispatcher and Performer with respect to a Job, is subject to mandatory individual arbitration under Section 21 of the Agreement. Section 21 (including its class action waiver, AAA administration, Citrus County, Florida venue, and court carve-out for injunctive relief) applies to disputes between Dispatcher and Performer.

14.3 Governing Law. These Terms are governed by Florida law in accordance with Section 22 of the Agreement.

15. General Provisions

15.1 Entire Agreement Between Dispatcher and Performer. These Terms, together with the specific Job posting and any Job-specific terms expressly agreed in writing on the Platform, constitute the entire agreement between the Dispatcher and the Performer with respect to a Job.

15.2 Severability. If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent needed to make it enforceable, or if no modification can save it, will be severed, with the remainder of these Terms remaining in full force.

15.3 No Waiver. A failure to enforce any provision of these Terms is not a waiver of the right to enforce it later.

15.4 Survival. Sections 5.4 (Indemnification), 7 (Non-Solicitation), 8 (Confidentiality), 9 (Intellectual Property), 13 (Disclaimers and Limitation of Liability), 14 (Dispute Resolution), and any other section that by its nature should survive, survive completion or termination of any Job.

15.5 Assignment. Neither party may assign these Terms or any Job-level agreement formed under these Terms without the other party's prior written consent. The non-solicitation covenant in Section 7 inures to the benefit of the Dispatcher's successors and assigns.

15.6 No Agency. Nothing in these Terms creates an agency, partnership, joint venture, or franchise between the Dispatcher and the Performer beyond the per-Job contractual relationship expressly formed.
