This Acceptable Use Policy (the "Policy") sets forth the conduct rules that apply to all use of TheGuys.app and related applications (the "Platform"), provided by TheGuys App LLC, a Wyoming limited liability company with principal place of business at 1883 West Royal Hunte Drive, Suite 200A, Cedar City, Utah 84720. This Policy is incorporated into and forms part of the TheGuys.app Terms of Service (the "Agreement"). Capitalized terms used but not defined in this Policy have the meanings given in the Agreement, including "Dispatcher," "Performer," and "Accounting Feature." Within the Platform's user-facing interface, a Dispatcher may informally be called a "Boss" and a Performer may informally be called a "Guy"; those informal terms are gender-neutral and have no legal effect.
Violation of this Policy is a breach of the Agreement and grounds for immediate suspension or termination of your Account, with no refund of any prepaid fees, in accordance with the Agreement. Violation may also expose you to civil liability and, in some cases, criminal prosecution. We may report violations to law enforcement, tax authorities, or other regulators at our discretion.
1. General Conduct Standard
You will use the Platform lawfully, honestly, and in good faith. You will respect the rights of other Users, third parties, and TheGuys App. You will use the Platform only for the posting, performance, and payment of lawful contractor work, and (where you elect to use the Accounting Feature) for your own legitimate bookkeeping and recordkeeping.
2. Prohibited Conduct
You will not, and will not permit any other person acting through your Account to, do any of the following on or through the Platform:
2.1 Fraud, Misrepresentation, and Identity Abuse
- Provide or enter false, misleading, inaccurate, or fraudulent information at registration or at any time thereafter.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Use another User's Account or allow another person to use your Account, except in the ordinary course of operating your business with your authorized employees or invited accountant.
- Create more than one Account for the same individual or business entity without our prior written consent.
- Submit false, altered, or fabricated receipts, photographs, GPS data, journal entries, or other Job-completion or bookkeeping documentation.
- Manipulate, falsify, or game any Platform feature, including reliability scoring, engagement ranking, AI-Tool outputs, or Accounting Feature audit trails.
2.2 Unlawful Use
- Use the Platform for any purpose that violates federal, state, local, or foreign law, regulation, ordinance, or court order.
- Use the Platform to coordinate, perform, or pay for work that you are not licensed, certified, or otherwise authorized to perform in the applicable jurisdiction.
- Use the Platform to facilitate money laundering, tax evasion, sanctions evasion, or any other financial crime.
- Use the Platform in any country, region, or against any party identified in the sanctions and export-control restrictions set forth in Section 2.7 of the Agreement.
- Use the Platform to discriminate against any User or third party on the basis of race, ethnicity, religion, national origin, sex, sexual orientation, gender identity, age, disability, or any other characteristic protected by applicable law.
2.3 Harmful Content and Communications
- Submit, post, or transmit any content that is defamatory, libelous, slanderous, obscene, pornographic, sexually explicit, harassing, threatening, abusive, hateful, racist, or otherwise inappropriate.
- Engage in stalking, doxxing, or any conduct that invades the privacy of any User or third party.
- Make any threat of violence, or any statement that a reasonable person would interpret as a credible threat.
- Submit content depicting or related to minors in any sexual, exploitative, or inappropriate context.
- Submit content that infringes the intellectual property, privacy, publicity, or contractual rights of any third party.
- Submit content that contains malware, viruses, ransomware, or other malicious code.
2.4 Spam, Scraping, and Data Misuse
- Use the Platform to send unsolicited commercial messages or any communication that violates the CAN-SPAM Act or any other anti-spam law.
- Compile, harvest, scrape, or otherwise collect any database, list, or directory of Users or User information from the Platform, except as necessary for your own legitimate use of the Platform.
- Use any robot, spider, scraper, automated tool, or similar means to access the Platform or extract data from it.
- Misuse contact information of other Users obtained through the Platform for any purpose other than the Job for which the information was provided.
- Disclose another User's contact information, photographs, ratings, scores, or private notes to any third party, except as required for the lawful performance of a Job or as required by law.
- Disclose any Accounting Feature data of another User (for example, data viewed during an invited accountant engagement) to any third party except as authorized by the User whose books were accessed or as required by law.
2.5 Platform Integrity
- Interfere with, disrupt, or attempt to disable any aspect of the Platform, including its servers, networks, or any other Users' access.
- Probe, scan, or test the vulnerability of the Platform, or breach or attempt to breach any security or authentication mechanism.
- Bypass, disable, or attempt to circumvent any technical or contractual access restriction, including Accounting Feature period-close locks and audit-trail mechanisms.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or algorithms of the Platform.
- Modify, copy, mirror, frame, or create derivative works of the Platform without our express prior written consent.
- Remove, alter, or obscure any copyright, trademark, or other proprietary rights notice on or in the Platform.
2.6 Fee Evasion and Anti-Circumvention
- Take any action intended to evade, reduce, or avoid payment of the Platform Fee, including but not limited to violations of Section 14 (Anti-Circumvention) of the Agreement.
- Misrepresent the value, nature, or scope of any Job to reduce the calculated Platform Fee.
- Coordinate with another User to route payment outside the Platform for work that originated as a Platform Job.
2.7 SMS and Messaging Misuse
- Use the Platform's SMS or messaging features to send marketing, promotional, or unsolicited content not authorized under the SMS Consent & Messaging Policy.
- Enter another person's mobile phone number on the Platform without that person's permission to do so.
- Send messages on the Platform that contain content prohibited under U.S. mobile carrier rules.
2.8 Conduct Toward TheGuys App
- Make any false report, complaint, or DMCA notice.
- Threaten or harass TheGuys App employees, contractors, or representatives.
- Take any action intended to extract Confidential Information from TheGuys App or its personnel by deception.
2.9 Accounting Feature Misuse
This subsection applies specifically to Users who use the embedded Accounting Feature.
- Falsify, fabricate, backdate, or alter financial records, journal entries, receipts, or audit-log entries in the Accounting Feature.
- Use the Accounting Feature to conceal income from, mislead, or evade detection by any tax authority, regulator, court, creditor, business partner, or other person to whom you owe an accurate accounting.
- Use the Accounting Feature in furtherance of money laundering, structuring, fraud, embezzlement, or any other financial crime.
- Prepare or present financial statements, reports, or exports generated by the Accounting Feature to any third party (including lenders, investors, courts, regulators, tax authorities, or counterparties) in a manner that materially misrepresents your financial condition or operations.
- Represent or imply that outputs of the Accounting Feature were prepared, reviewed, attested, or audited by a certified public accountant, enrolled agent, registered tax return preparer, chartered accountant, or other licensed professional unless you actually are such a licensed professional acting within the scope of your license. Tagging an output "reviewed by CPA" or similar without an actual CPA review is prohibited.
- Hold yourself out, expressly or by implication, as a certified public accountant, bookkeeper of record, fiduciary, tax preparer, or financial advisor through your use of the Accounting Feature, unless you actually hold the relevant professional license or designation.
- Use the Accounting Feature to keep books for any business, entity, or activity that you do not legitimately own, operate, or have explicit authorization to maintain books for.
- Attempt to circumvent the Accounting Feature's period-close lock, audit-log, or immutability controls (including by direct database manipulation, by submitting backdated transactions, or by attempting to delete audit-log entries).
- Share, sell, or transfer your Accounting Feature data to any third party in a manner that violates applicable privacy or financial-data laws, or for the purpose of facilitating identity theft, fraud, or other unlawful conduct.
- Connect a bank account through Plaid Inc. or any other bank-data aggregator that you do not legitimately own, operate, or have explicit signing authority over.
- Use the invited-accountant access feature to grant access to your books to a person whose access would violate any duty you owe to a third party (for example, granting your spouse's accountant access to your separate business books in violation of a court order or business agreement).
3. Special Rules When You Post a Job
(When acting as a Dispatcher.)
- You are responsible for the lawfulness of every Job you post.
- Treat every Performer with professional respect.
- Pay Performers promptly and fairly per the terms of each Job.
- Comply with worker classification, payroll, and tax laws applicable to the Performers you engage.
- Limit private notes about Users to factual, work-related observations.
4. Special Rules When You Accept a Job
(When acting as a Performer.)
- Accept Jobs in good faith and only when you reasonably believe you can perform the work as posted.
- Show up on time and submit truthful expenses, receipts, and photographs.
- Do not solicit a Dispatcher's Client outside the Platform for work that originated as a Platform Job.
- Do not disparage a Dispatcher or another Performer publicly or to Clients.
5. Reporting Violations
If you observe a violation of this Policy, you may report it to legal@theguys.app with your Account name and contact information, the Account or User you are reporting, a description of the conduct including dates, times, Job IDs, and supporting documentation, and whether you believe the conduct is ongoing.
We will review reports in the order received and respond as we determine appropriate. Submitting a knowingly false report is itself a violation of this Policy.
6. Enforcement
We may take any of the following actions in response to a Policy violation, in our sole discretion and without prior notice:
- Issue a warning.
- Remove or restrict access to specific User Content.
- Restrict specific Account features (including suspending the Accounting Feature while preserving access to the data export).
- Suspend the Account temporarily.
- Terminate the Account permanently, with no refund of prepaid fees.
- Terminate the Accounts of related Users in the Multi-Tier Hierarchy who knowingly participated in or facilitated the violation.
- Pursue legal action and recover damages.
- Refer the matter to law enforcement, tax authorities, regulators, or other authorities.
We are not required to take any specific enforcement action in response to any specific report.
7. Modifications to This Policy
We may update this Policy from time to time. The current version is always posted at https://theguys.app/acceptable-use. Material changes will be communicated by email or by in-Platform notice.
